Subcontractor Agreement for Cleaning Terminators Specialists

1. Introduction

These Terms and Conditions govern the Subcontractor agreement through our website www.cleaningterminatorspecialists.com (the Cleaning Terminator Specialists). By signing a this form, you agree to be bound by these Terms and Conditions.

2. Signed Confirmation

Upon successful signed confirmation, Please review this information carefully and contact us immediately for any questions or concerns.

3. Term

The term of this Subcontractor Agreement shall commence on the signed form, and shall continue until either  terminated by email either party in accordance with this Agreement. 

3. Services
We provide services to you as a you being a subcontractor to your business, we are a agency who provides work to you, this could be through multiple marketing channels this includes Airtasker, Facebook ad's, Google ad's. We search clients for you, provide the information on work to be completed and exchange contact details between you as subcontractor and the customer.

4. ABN number

The term of this agreement must be signed with a ABN number on your business. The ABN number must be registered to you before accepting work from us.

5. Payment Terms

Payments Terms include the customer makes payment to us through online, this include Airtasker, our website, credit card or through BSB account on Cleaning Terminator Specialists. We have discretion to change the payment method, we would discuss to you the new agreement. You are not obligated to accept these changes and the agreement would terminate. You would get paid after the customer makes payment to us. We aim to make payment within 24-48 hours once receiving the funds from the customer. Max time payment to be made is 30 days.

6. Dispute

We cannot make payment to you if the customer doesn't make payment to us. You won't hold us liable from any payment obligations with this agreement. If a customer disputes and refuses to make payment. We can offer mediation services, we are not obligated to provide this or debt collection process however you as a Subcontractor must ensure the works were completed in a acceptable standard and have solid evidence of this. This could include photos, text messages and emails from customer confirming works completed.

7. Booking & Cancellation Policy

• As a Subcontractor, you are not obligated to accept any work we provide you, however if you agree to do the work on a date, price and time. You accept any liabilities for any costs which could incurred, by our agency Cleaning Terminator Specialists.  This could be a marketing cost, reputation cost or cancellation cost from a platform due to no-show from you or you decide to cancel the work and customer wont proceed with the works.

8. Insurance

We have insurance, However, please note that this insurance is not guaranteed and is subject to the PDS or Terms and Conditions set forth by the insurance provider. It is the sub contractors responsible to have they own insurance coverage when accepting work through the agency Cleaning Terminator Specialists. we may offer insurance coverage as part of your work. However, please note that this insurance is not guaranteed and is subject to the PDS or Terms and Conditions set forth by the insurance provider.

9. Penalty Interest Rates

In accordance with the Penalty Interest Rates Act 1983 (Victoria), any overdue payments will incur interest at the rate specified under the Act. The current penalty interest rate is 10% per annum, calculated daily until the outstanding amount is paid in full.

10. Liability

If no insurance coverage offered by the insurance provider, we will not be liable for any indirect, incidental, or consequential damages arising from your use of the website, works we provide to you. 

You will indemnify us and will be liable for, all loss and damage, out-of-pocket expenses and all other reasonable expenses and disbursements incurred by us in this matter, including but not limited to legal costs on a solicitor/own basis, Search fees and debt collection costs (as if the debt had been collected) and any other contingent expenses incurred by us for the enforcement of any obligations we are at liberty to take against you, for the recovery of moneys owed by you to us.

11. Working Police Check or WWCC - Children Check

You may be required for certain works we provide, to complete a working police check or WWCC working with children check. It will be your responsibility to pay these on your own cost to obtain these.

12. Equipment, Cleaning Supplies.

You are responsible as a subcontractor to obtain cleaning supplies and equipment. We agency Cleaning Terminator Specialists wont be responsible to provide equipment and cleaning supplies required to complete the work. It is important before accepting works to avoid clause 7 and 10. You may speak with the customer directly, if the customer is willing to cover the cost for you onsite.

13. Termination:
Either party may terminate this Subcontractor Agreement by providing notice by email however this will not terminate the debt obligation incurred on this agreement.

14. Governing Law

These Subcontractor Agreement are governed by the laws of the State of Victoria, Australia. Any disputes arising from these Terms and Conditions will be subject to the exclusive jurisdiction of the courts of Victoria.

15. Amendments

We reserve the right to amend these Subcontractor Agreement at any time. Any changes will be posted on the Website, and your continued use of the Website following such changes constitutes your acceptance of the new Terms and Conditions.
